Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Khyalix FZE (“KHYALIX,” “we,” “us,” or “our”), based at SRTI Park – Sharjah, UAE, governing your use of the KHYALIX website, applications, AI tools, and related services (the “Service”).

By creating an account, using the Service, or making a purchase, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old to use the Service. If you use it for an organization, you confirm that you are authorized to bind that organization.

You must provide accurate account information, keep your credentials secure, and promptly report suspected unauthorized access. You are responsible for activity through your account and may not sell, transfer, or share access to bypass account or plan limits.

2. The Service

KHYALIX provides AI-assisted tools for architectural, design, visualization, image, video, document, and related workflows. Features, models, providers, limits, prices, and credit requirements may change or become unavailable.

KHYALIX is a technology platform and does not provide architectural, engineering, legal, code-compliance, cost consultancy, or other regulated professional services.

Subject to these Terms and applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for personal or internal business purposes.

3. User Content

You retain ownership of content you upload or submit (“User Content”). You grant KHYALIX a limited license to host, copy, transmit, process, and modify User Content only as needed to operate, secure, and support the Service, fulfill your requests through relevant service providers, and comply with law.

You confirm that you have all rights and permissions needed to submit and process User Content, including any required consent from identifiable people. You must not submit content that infringes intellectual property, privacy, confidentiality, contractual, or other rights. Do not upload confidential or regulated material unless you are authorized to process it through the Service.

4. Generated Outputs

As between you and KHYALIX, and to the extent allowed by applicable law and third-party provider terms, you own outputs generated for you after payment of applicable fees.

AI outputs may be inaccurate, incomplete, non-unique, or similar to content generated for others. We do not guarantee that an output qualifies for intellectual property protection, is free from third-party rights, or is suitable for commercial or professional use. You are responsible for reviewing and using outputs lawfully.

5. Professional Use Disclaimer

Outputs may contain incorrect dimensions, fabricated details, code conflicts, or technical and construction errors. They must not be relied upon as the sole basis for design approval, permitting, construction, fabrication, procurement, cost, life-safety, or other professional decisions.

You are responsible for obtaining review by appropriately qualified professionals before using outputs for professional, contractual, regulatory, or construction purposes. KHYALIX is not responsible for decisions made in reliance on unverified outputs.

6. Acceptable Use

You must not use the Service to:

• Violate law or another person's rights.
• Create unlawful, fraudulent, harmful, exploitative, or deceptive content.
• Upload malware or interfere with the Service or other users.
• Access another account, project, asset, or system without authorization.
• Bypass security, moderation, rate limits, billing, Credits, or usage restrictions.
• Reverse engineer, scrape, resell, or systematically extract the Service or Outputs to build a competing service, except where law expressly permits.

We may reject requests, remove content, restrict features, or suspend accounts where we reasonably believe these Terms, applicable law, provider rules, or Service security have been violated.

7. Third-Party Services

The Service relies on third-party AI, hosting, storage, infrastructure, and payment providers. Relevant User Content may be transmitted to the provider required to perform your request, as described in our Privacy Policy.

Third-party providers may reject, delay, moderate, or fail requests, and may change or discontinue their services. KHYALIX is not responsible for third-party outages, restrictions, decisions, or failures outside our reasonable control.

8. Credits, Payments, and Subscriptions

Some features use digital credits (“Credits”). Credits are limited Service units, not money or stored value; they have no cash value and cannot be transferred, resold, withdrawn, or exchanged outside the Service. Any plan-specific expiry, rollover, or reset terms will be disclosed with that plan.

Credit usage may vary by model, tool, resolution, duration, or settings. A completed generation consumes the stated Credits even if the result does not meet subjective expectations. Failed, duplicated, canceled, or incorrectly charged jobs are handled under our Refund, Cancellation & Digital Delivery Policy.

Prices, billing intervals, currencies, and applicable taxes are shown before purchase. Payments may be processed by Stripe or another identified provider. We may correct Credits or restrict paid access where a payment is reversed, disputed, fraudulent, unauthorized, or unpaid.

Subscriptions renew automatically at the interval and price shown at checkout unless canceled before renewal. Cancellation normally takes effect at the end of the paid billing period. Refunds, unused Credits, renewals, and cancellation effects are governed by our Refund, Cancellation & Digital Delivery Policy and applicable law.

We may change future prices, plans, or Credit requirements. Changes do not retroactively reduce a valid purchased Credit balance except to correct an error, fraud, payment reversal, or unauthorized transaction.

9. Delivery, Refunds, and Promotions

Paid digital features are generally delivered to your account after payment confirmation. Delivery and refund eligibility are governed by our Refund, Cancellation & Digital Delivery Policy, which forms part of these Terms.

Promotions, coupons, trials, and promotional Credits may have separate conditions and may be withdrawn if obtained through error, fraud, abuse, or duplicate accounts. Nothing in these Terms excludes rights that cannot lawfully be excluded.

10. Availability and Storage

The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted operation, successful generation, a specific result, or permanent availability of any model or feature.

The Service is not your sole permanent archive. You are responsible for downloading important files and outputs. We do not guarantee recovery of content following deletion, expiration, account termination, provider failure, or events outside our reasonable control.

11. KHYALIX Intellectual Property

KHYALIX and its licensors retain all rights in the Service, including its software, interfaces, workflows, designs, databases, documentation, trademarks, and branding. Except for the limited right to use the Service, no KHYALIX intellectual property rights are transferred to you.

12. Suspension and Termination

We may limit, suspend, or terminate access if we reasonably believe your account creates a legal, payment, fraud, security, or abuse risk, or if you materially violate these Terms. We may act immediately where delay could cause harm or legal exposure.

After termination, your right to use the Service ends and access to content or unused Credits may end, subject to applicable law and our Refund, Cancellation & Digital Delivery Policy. Provisions concerning ownership, payments, disclaimers, liability, indemnity, and disputes survive termination.

13. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, KHYALIX disclaims implied warranties, including fitness for a particular purpose, merchantability, non-infringement, accuracy, and uninterrupted availability.

KHYALIX and its directors, employees, contractors, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, data, goodwill, or opportunities arising from the Service.

To the maximum extent permitted by law, KHYALIX's total aggregate liability arising from the Service or these Terms will not exceed the amount you paid to KHYALIX during the 12 months preceding the event giving rise to the claim.

These exclusions do not apply to fraud, willful misconduct, or liability and consumer rights that cannot lawfully be limited.

14. Indemnity

To the extent permitted by law, business users agree to indemnify KHYALIX against third-party claims and reasonable costs arising from their User Content, unlawful use of Outputs, violation of these Terms, infringement of another person's rights, or professional or construction use of unverified Outputs. This does not cover claims caused by KHYALIX's fraud or willful misconduct.

15. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates, as applicable in the Emirate of Sharjah.

Before filing a claim, the parties will attempt in good faith to resolve the dispute for 30 days after written notice to contact@khyalix.ai. Subject to mandatory rights or jurisdiction rules that cannot be waived, the courts of Sharjah, UAE, have exclusive jurisdiction.

16. Changes and General Terms

We may update these Terms by posting a revised version and updating the “Last Updated” date. Material changes apply prospectively. If you do not agree, you must stop using the Service and cancel any active subscription before renewal.

These Terms, our Privacy Policy, our Refund, Cancellation & Digital Delivery Policy, and purchase-specific terms form the entire agreement regarding the Service. If one provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. Neither party is responsible for delay caused by events beyond its reasonable control, except for payment obligations already due.
